KUMON INSTRUCTORS: NATIONAL CAMPAIGNS

Parties:

1. OlaOlu Adubifa Systems (OA Systems) (hereinafter referred to as “Agency”)

2. The above named individual (hereinafter referred to as “Client”)

Scope of Services: The Agency agrees to provide digital marketing services to the Client as per the related invoice.That is:

• Facebook Ads Management

• Instagram Ads Management

Terms and Conditions:

1. Service Duration:

   • The initial term of this agreement shall be 4 weeks.

   • Once this agreement is signed the order cannot be cancelled.

2. Payment:

   • The Client agrees to pay the Agency the agreed-upon fee for the services rendered as per the related invoice.

   • Payment shall be made in advance.

   • The Agency reserves the right to suspend services for non-payment.

3. Results Disclaimer:

   • The Agency does not guarantee specific results from the social media marketing campaigns.

   • While we strive for optimal performance, factors such as market conditions, demographics, audience behaviour, and platform algorithms may impact campaign outcomes.

   • The Client agrees to be responsible for paying for all advertising costs (adspend) and will ensure a valid credit/debit card is on their ad account to make payments when requested by the social media platform (Meta -Facebook/Instagram).

4. Intellectual Property:

   • All intellectual property rights related to the campaigns (including ad creatives, copy, and data) shall remain with the Agency.

   • The Client may use the deliverables solely for the purpose of their business.

5. Confidentiality:

   • Both parties agree to maintain the confidentiality of any proprietary information shared during the course of this agreement.

   • Confidential information includes campaign strategies, customer data, and trade secrets.

6. Order Completion:

   • Upon completing the order, the Client shall pay for services rendered up to the end of the 4 weeks, or if services are extended, until the end of the extension.
